Roadside247 Provider Agreement
Last updated: [DATE]
1. Independent Contractor Relationship
Provider is an independent contractor, not an employee, agent, joint venturer, or partner of the Platform. As an independent contractor, you control the manner and means of performing Services, set your own hours, decide which jobs to accept, may work for other platforms/customers (subject to Section 8), are solely responsible for your own taxes (Platform issues 1099 as required, does not withhold), and are solely responsible for your own insurance, licensing, and business expenses.
2. Onboarding Requirements
Before activation and at each renewal, you must provide and keep current: government ID, valid driver's license, vehicle registration, insurance documentation (commercial auto liability meeting posted minimums, garage keepers/on-hook towing insurance if towing, general liability), business/towing operator licensing as required in your jurisdiction, background check consent, and equipment meeting safety standards for your service categories.
3. Provider Responsibilities
Respond to accepted jobs promptly with accurate ETAs; perform Services safely and professionally per applicable law; charge only Platform-disclosed pricing plus approved change orders; do not solicit off-platform payment for Platform-sourced jobs (Section 8); maintain a working device and use masked calling; immediately report accidents/damage/injuries to the Platform and your insurer; treat Customers and property with respect.
4. Payment Terms
4.1 Provider receives 75% of the service call price and 100% of disclosed parts/supplies charges; Platform retains 25% of the service call price as platform fee, disclosed in your dashboard and subject to change with notice.
4.2 Payout released after the Customer's dispute window closes, per the schedule in your dashboard.
4.3 Refunds from disputes may reduce, withhold, or reverse the corresponding payout.
4.4 You are solely responsible for your own tax reporting and payment.
5. Insurance and Liability
You must maintain insurance meeting posted minimums for the duration of this Agreement and provide proof on request. You are solely responsible for injury, death, or property damage arising from your performance of Services.
6. Indemnification
You agree to indemnify, defend, and hold harmless Roadside247 from claims arising from your performance/non-performance of Services, breach of this Agreement, violation of law or third-party rights, or property damage/injury/death caused by your acts or omissions, except to the extent caused by the Platform's gross negligence or willful misconduct.
7. No Exclusivity
This Agreement does not require any minimum job volume, exclusivity, or particular availability.
8. Non-Circumvention
For jobs sourced through the Platform, you agree not to solicit the Customer to cancel and pay you directly to avoid the platform fee, for a period of [X] following the job. This does not limit serving customers you find independently.
9. Deactivation
The Platform may suspend/deactivate your account for lapsed documentation, repeated no-shows/cancellations, safety violations, substantiated complaints, fraud, or breach of this Agreement, with notice and a cure opportunity where practicable and not a safety concern. You may deactivate at any time.
10. Confidentiality
Customer contact/location data accessed through the Platform is for completing the Service only and may not be retained, sold, or used for outside marketing.
